N2  - At present anly the stock exchange listing agreement requires the induction of independent directors on the boards of listed companies witha view to ensure better governance and the companies act 1956 does not mandate so. The companies Act, 2013 has for the first time introduced a provision for the appointment of independent directors. The new act has also specified the requisite qualifications of such directors. The objective of this provision will be realized only if the independent directors act with highest standards of profesional ethics
