In a landmark ruling the Supreme Court recently held that the optionally fully convertible debentures issued by two Sahara Group Companies was a public offer and hence fell within the purview of SEBI regulations and since the company failed to comply with relevent SEBI regulations and amounts collected were dircted to be refuned.
